Where do you fit in?

The experienced Corporate Paralegal will be critical in supporting the commercial contracting process, corporate governance matters, subsidiary maintenance, M&A transactions, corporate record-keeping, contract management, and other legal projects. You'll manage corporate record keeping, transaction execution, governance policies, and compliance processes, including signatures, mailings and filings.

As part of the team your main responsibilities will be:

  • Support commercial contracting process, in particular, review and negotiation of commercial agreements such as non-disclosure agreements, master service agreements and work orders;
  • Support legal aspects of acquisitions, financings and commercial and capital market transactions, including data room management and due diligence requests, assisting with closing documents, coordinating and assisting with contract review, obtaining required signatures, assisting with post-closing integration and administration, and any other special projects;
  • Assist with M&A and other strategic transactions, including providing due diligence support, data room management, and preparing and organizing deal documents;
  • Assist in responding to requests for information, requests for proposals (RFP), and documents from our commercial clients, internal and external auditors, regulators, partners, and other stakeholders;
  • Coordinate with the stock administration team to ensure proper management of equity plans;
  • Provide assistance in support of G&A functions such as finance, stock administration facilities, executive compensation, tax, treasury, people team;
  • Working closely with our lawyers and business clients to review and draft various contracts including vendor agreements and marketing agreements. Includes updating template documents, seeking internal business feedback, redlining changes, managing document versions, drafting correspondence and assisting clients with our vendor contract management systems; and
  • Support the continuous improvement of standard form agreements, Signature Authority Matrix, contracting guidelines, playbooks and legal processes.

You'll need to be:

  • Motivated by working in a fast-growing global company.
  • Eager and quick to learn new complex subject matters,
  • A team player, also able to work with autonomy,
  • A problem-solver with good multi-tasking and time management skills,
  • Excellent at attention to detail, strong written and verbal communication skills and thorough follow-up;

You'll need to bring:

  • Mid level experience as a paralegal (with a focus on commercial contracts, corporate governance, company filings and/or M&A);
  • Experience preparing, managing and maintaining board minutes, agendas, shareholder meeting materials, and corporate recordkeeping;
  • Exposure working with senior executives
  • Advanced proficiency with MS Office (Word, Excel, PowerPoint);
  • Excellent critical thinking skills.

We would be thrilled to see:

  • Some in-house experience preferred.
  • Law related degree
